These Terms of Service ("Terms") govern your access to and use of sjsmag.com and our other websites, products, services, content, software, and related offerings, including San Juan Social Magazine and San Juan Social Club ("SJSC") memberships, events, programs, promotions, experiences, communications, online groups and chats, and other products or services (collectively, the "Services").
Some forms on this website also enroll you in SJSC programs, communications, or member benefits. By accessing or using the Services, submitting a form or application, purchasing a membership, subscription, or advertising, joining an SJSC group or chat (including WhatsApp groups), registering for an event, or otherwise participating in San Juan Social Club, you agree to these Terms.
You must be at least 18 years old (or the age of majority where you live) to use the Services. By using the Services, you represent that you meet this requirement.
We provide media, marketing, content, creative, and/or related business services, including San Juan Social Magazine (as described on our website or in a written agreement). Specific deliverables, timelines, fees, and scope may be governed by a separate proposal, statement of work, invoice, or contract. If there is a conflict between these Terms and a signed written agreement, the signed agreement controls for that project.
San Juan Social Club is a membership-based social and business community offering networking opportunities, events, experiences, online groups, content, travel-related opportunities, member benefits, promotions, and other products and services.
Services, membership, benefits, programming, events, pricing, and offerings may change from time to time.
Submitting an application or membership request does not guarantee acceptance into San Juan Social Club.
Membership in SJSC, including access to SJSC events and SJSC online groups and chats, is a privilege and not a right. SJSC may approve, decline, suspend, or revoke any membership or participation at its sole discretion, for any lawful reason, at any time, subject to applicable law. SJSC is not required to give a reason for any such decision.
Members are responsible for providing accurate and current information. Providing false, misleading, or incomplete information, or failing to disclose information that SJSC reasonably considers relevant to the safety of the community, is grounds for denial or revocation of membership.
Memberships are personal to the individual or organization to which they are issued and may not be transferred unless expressly authorized by SJSC.
Membership fees, billing frequency, renewal terms, and benefits will be disclosed at the time of purchase or enrollment.
If a membership is offered on an automatically renewing basis, the applicable renewal terms will be disclosed during enrollment.
By purchasing a recurring membership, you authorize us or our payment processor to charge the applicable payment method according to the billing terms presented at checkout until the membership is canceled.
Members are responsible for maintaining accurate billing information.
If you purchase Services, you agree to pay all fees and applicable taxes as described at checkout, on an invoice, or in a written agreement.
Late payments may result in paused work, suspended access, or additional fees as permitted by law and/or your agreement.
Membership, event, travel, cruise, merchandise, advertising, and other purchases may have different cancellation and refund policies. Any specific cancellation or refund terms presented at the time of purchase, registration, or booking will apply to that transaction.
Refunds: Unless required by law or stated otherwise in writing, fees already paid may be non-refundable, and fees for services are non-refundable once work has started or services have been delivered.
SJSC may organize social events, networking events, dinners, parties, educational programs, excursions, entertainment, and other experiences.
Event details, including venues, dates, times, speakers, entertainment, programming, and availability, may change.
Registration or ticket purchase does not guarantee admission. SJSC may refuse admission to, or remove from, any event any person at its sole discretion, including any person whose membership has been suspended or revoked, subject to applicable law.
SJSC does not conduct criminal background checks, sex offender registry searches, identity verification, or any other screening of members, guests, attendees, vendors, or other participants. SJSC does not represent, warrant, or guarantee the identity, background, character, conduct, or intentions of any member or participant.
Members, guests, and participants are solely responsible for their own safety and for exercising caution and good judgment in all interactions with other people they meet through SJSC, whether at SJSC events, in SJSC online groups or chats, or in any private meeting, communication, business dealing, or relationship that begins through SJSC. SJSC is not responsible for interactions or relationships between members or participants, including any that take place outside of SJSC events.
If you become aware of conduct or information that you believe presents a safety concern for the SJSC community, please report it privately to [email protected]. SJSC may, but is not obligated to, review reports and take any action it considers appropriate, consistent with Sections 3, 8, and 24. Reports are handled confidentially to the extent reasonably practicable.
SJSC is intended to provide a welcoming, safe, and professional community.
Members, guests, and participants must treat other members, guests, staff, venues, sponsors, speakers, and partners respectfully. Harassment, threats, unwanted sexual advances or contact, discrimination, solicitation that other members have not welcomed, fraud, and unlawful conduct are prohibited at SJSC events, in SJSC online groups and chats, and in any interaction that begins through SJSC.
SJSC may suspend or terminate membership or participation, and remove any person from any SJSC event, group, or chat, at its sole discretion, including for conduct or for information that SJSC reasonably believes presents a risk to the safety, comfort, or reputation of the SJSC community, whether that conduct or information arises inside or outside of SJSC activities, subject to applicable law.
If you create an account, you agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree not to use our websites or the Services to:
Violate any law or regulation.
Infringe intellectual property or other rights, or use our intellectual property without authorization.
Upload or transmit malicious code, spam, or harmful content.
Attempt to gain unauthorized access to systems, accounts, or data.
Interfere with the integrity, operation, or performance of the Services.
Scrape or systematically extract website content without authorization.
Impersonate another person or organization, or engage in fraudulent activity.
We may suspend or terminate access if we believe you have violated these Terms.
When you provide contact information to us, including through forms on this website, we may use that information to communicate with you regarding your membership, subscription, transactions, registrations, events, benefits, products, services, and other San Juan Social Magazine and SJSC activities.
Where you have provided the required consent, communications may also include marketing, promotions, special offers, event announcements, cruise information, magazine updates, and other SJSC news.
Depending on your preferences and applicable consent requirements, communications may occur through email, telephone, SMS/text messaging, WhatsApp, push notifications, direct mail, social media or messaging platforms, and other communication channels you choose to use with us.
If you provide your mobile number and consent to receive SMS/text messages from San Juan Social Club, San Juan Social Magazine, or SJS Media LLC, you may receive recurring informational and/or marketing text messages relating to memberships, subscriptions, events, promotions, offers, cruise information, products, services, and other SJSC activities.
Message frequency varies. Message and data rates may apply.
Consent to receive marketing text messages is not a condition of purchase or membership.
You may opt out of marketing text messages by replying STOP or by otherwise communicating a reasonable request to stop receiving such messages.

Mobile information and SMS consent information will not be sold or shared with third parties for their own independent marketing purposes.
We may use service providers to facilitate messaging on our behalf.

Marketing emails will provide an opportunity to unsubscribe.
Unsubscribing from marketing emails does not prevent us from sending transactional or administrative communications necessary to fulfill purchases, registrations, membership obligations, or other requests.
SJSC events and experiences may be photographed, filmed, livestreamed, or otherwise recorded.
By attending an event or experience, you acknowledge that photography or recording may occur.
To the extent permitted by applicable law and any event-specific notices or releases, we may use event photographs and recordings for editorial, promotional, advertising, social media, website, magazine, archival, and other SJSC-related purposes.
Specific events may have additional photography or media-release terms provided during registration.
SJSC may promote or facilitate cruises, travel experiences, excursions, accommodations, transportation, and other travel-related opportunities.
These experiences may be provided in whole or in part by independent third parties, including cruise lines, travel agencies, airlines, hotels, tour operators, transportation providers, and excursion providers.
Third-party bookings may be subject to separate contracts, cancellation policies, payment schedules, liability limitations, and terms established by those providers.
SJSC is not responsible for acts, omissions, cancellations, delays, schedule changes, service failures, or other circumstances controlled by independent travel providers, except as required by applicable law.
Participants are responsible for reviewing applicable travel requirements and obtaining necessary passports, visas, identification, insurance, or other documentation.
SJSC may provide access to discounts, benefits, offers, promotions, or services provided by third-party businesses.
Unless specifically stated otherwise, these third parties are independent businesses and are responsible for their own products, services, representations, warranties, pricing, and customer service.
SJSC does not guarantee the availability or continued participation of any particular member benefit or third-party partner.
Merchandise and other products may be produced, fulfilled, shipped, or otherwise provided by third-party vendors.
Product appearance, sizing, availability, delivery dates, and other details may vary.
Applicable shipping, return, refund, and exchange policies will be disclosed through the applicable store or purchase process.
Unless otherwise stated in writing:
The Services, including the San Juan Social Magazine and San Juan Social Club names, branding, logos, website content, text, graphics, photographs, videos, publications, event materials, designs, software, and other original content we provide, are owned by or licensed to SJS Media LLC and are protected by applicable laws.
You receive a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes. Nothing in these Terms grants permission to reproduce, distribute, modify, sell, or commercially exploit our intellectual property without prior written authorization.
Client Work / Deliverables: Ownership and licensing for client deliverables (e.g., designs, videos, copy, code, assets) are governed by the applicable project agreement, invoice terms, or statement of work.
If you submit content to us (e.g., text, images, logos, feedback), you grant us a non-exclusive, worldwide, royalty-free license to use it to operate, improve, and provide the Services, unless a separate written agreement states otherwise.
You represent you have the rights to submit such content and that it does not violate laws or third-party rights.
The Services and our communications may contain links to third-party websites, platforms, products, or services (e.g., payment processors, analytics, hosting providers).
We do not control these third parties and are not responsible for their content, privacy practices, security, availability, products, services, or practices. Your use of third-party services is at your own risk and subject to their own terms and privacy policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that results from using the Services will meet your expectations.
We provide memberships, events, online groups, information, content, introductions, and experiences for general social, networking, informational, and entertainment purposes. Unless expressly stated otherwise, we do not provide legal, tax, investment, medical, financial, or other professional advice.
You understand that attending events and meeting new people involve inherent risks, including risks arising from the conduct of other participants whom SJSC does not screen or control. You voluntarily assume those risks. Participation in SJSC activities, interactions with other members or participants, and reliance on information obtained through the community are at your own discretion and risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SJS MEDIA LLC, SAN JUAN SOCIAL MAGAZINE, SAN JUAN SOCIAL CLUB, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING THE WEBSITE, MEMBERSHIP, EVENTS, GROUPS, OR PARTICIPATION IN SJSC ACTIVITIES, OR (B) ANY ACT, OMISSION, STATEMENT, OR CONDUCT OF ANY OTHER MEMBER, GUEST, ATTENDEE, VENDOR, OR THIRD PARTY, WHETHER AT SJSC EVENTS, IN SJSC GROUPS OR CHATS, OR IN ANY INTERACTION THAT BEGINS THROUGH SJSC.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
To the extent permitted by applicable law, you agree to indemnify and hold harmless SJS Media LLC, San Juan Social Magazine, and San Juan Social Club from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your unlawful conduct, your violation of these Terms, your interactions with other members or participants, your misuse of our services or property, or your infringement of any rights of another.
We may suspend or terminate any membership, and your access to the Services or any SJSC event, group, chat, or service, at our sole discretion and at any time, including for violations of these Terms, nonpayment, fraud, unlawful conduct, conduct described in Section 8, information that we reasonably believe presents a risk to the SJSC community, or if required by law, subject to applicable law. We are not required to state a reason. You may stop using the Services at any time.
If SJSC terminates a paid membership for reasons other than a violation of these Terms, nonpayment, or fraud, SJSC may, at its discretion, refund the unused portion of the prepaid membership fee. Otherwise, termination does not create a right to a refund.
Our collection and use of personal information are described in our Privacy Policy and, for San Juan Social Club, the San Juan Social Club Privacy Policy.
These privacy policies are incorporated by reference where permitted by applicable law.
We may update these Terms periodically. When changes are made, we will update the Last Updated date at the top of this page.
Material changes may also be communicated through the website or other appropriate means.
Your continued use of the Services, or continued membership or participation in any SJSC group, following the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law principles. Any dispute arising from these Terms, the Services, or your participation in SJSC will be resolved in San Juan, Puerto Rico.
Any mandatory rights available to consumers under applicable law remain unaffected.

Please read these terms and conditions carefully before using Our Service.
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
1 – This is a brief description of the types of messages users can expect upon opting in (This campaign will be used by San Juan Social Club to reach out to clients who have opted in to receive more information about our services)
2 – You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
3 – If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to [email protected].
4 – Carriers are not liable for delayed or undelivered messages
5 – As always, message and data rates may apply for messages sent to you from us and to us from you. You will receive occasional messages. For questions about your text plan or data plan, contact your wireless provider.

For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
